Our corporate legal advice covers all stages of a company’s cycle, from the company’s formation and management through day-to-day operations, corporate governance aspects, commercial contracts, reorganization, winding-up, etc. We assist with the review and negotiation of agreements concluded by our clients with various service providers and business partners, as well as in relation to all necessary commercial aspects of their day-to-day activities and operations.
EMPLOYMENT AND BENEFITS
We advise and assist clients on highly sensitive cases related to labour law matters, disciplinary procedures, dismissal procedures and litigations, as well as collective negotiations, transfer of undertaking procedures, employment contracts for staff and executives, employee benefit plans, stock options plans, pensions, executive remuneration and compensation packages, compliance with the Romanian employment legislation, drafting internal regulations, collective bargaining labour agreements, and work and safety procedures.
DATA PRIVACY / DATA PROTECTION
We advise clients on all data privacy/data protection issues in regard to their operations and activities, including data processing for client-developed promotional campaigns and/or day-to-day activities undertaken in relation to clients’ employees; data processing for client-implemented security measures; or the processing of personal data to assess compliance with client's internal policies.
CONSUMER PROTECTION
We provide advice to clients on aspects of consumer protection, including mandatory product packaging information, promotional campaigns, consumer claims, consumer liability, product safety, and representation before the Consumer Protection Authorities.
REAL ESTATE, CONSTRUCTION AND INFRASTRUCTURE
We advise on all regulatory, environmental, and permitting issues for design, construction, and technical assistance services utilized by railway, road, highway infrastructure projects, and real estate development, from land acquisition to drafting and negotiation of transaction documents, to receipt of required construction permits, necessary authorisations, and regulatory matters.
We advise sellers and purchasers on a wide variety of real estate transactions, from the first stages to finalization and, if needed, the operation of the asset.
ENVIRONMENTAL LAW AND PERMITTING
We advise our clients on a wide range of matters related to environmental regulations and liability, waste management, compliance and permitting issues, management of contaminated land and related claims, landfill management and regulatory issues, plus all environmental issues deriving from M&A, infrastructure, or real estate projects.
INFORMATION TECHNOLOGY
We provide legal advice to both local and international IT companies with respect to aspects concerning the acquisitions by actors in the Romanian market, outsourcing services, drafting and implementation of licensed products’ or services’ terms of service (TOS); software licensing and distribution agreements; service level agreements; legal issues and incentives related to software development, internet and e-commerce; and data protection and privacy.
PPP AND PUBLIC PROCUREMENT
We advise clients in relation to PPP and public procurement procedures, including associated risks related to the applicable legal framework, negotiations of contracts awarded within public tender procedures, and concessions, including dispute procedures related to the implementation of public procurement contracts.
REGULATORY
We advise our clients on all regulatory aspects of their business operations in Romania, including the projects they intend to develop, to ensure full compliance with their industry-specific legislative framework.
